2. Our Services
Vikn Studio Ltd provides web design, web development, Webflow builds, CMS setup, SEO optimisation, and related digital services. The specific scope of services for each project will be agreed in writing via a proposal or statement of work before any work commences.
3. Proposals and Acceptance
All projects begin with a written proposal outlining the scope of work, deliverables, timeline, and fees. A project is confirmed only upon receipt of a signed proposal or written acceptance by email, together with any required deposit payment. We reserve the right to decline or withdraw a proposal at any time prior to acceptance.
4. Fees and Payment
Our fees are set out in the relevant project proposal. Unless otherwise agreed, a deposit of 50% of the total project fee is due upon acceptance of the proposal, with the remaining balance due prior to final delivery or launch. All invoices are payable within 14 days of issue. We reserve the right to charge interest on overdue invoices at the rate of 8% per annum above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998. Work will be paused if invoices remain unpaid beyond the agreed payment terms.
5. Client Responsibilities
You agree to provide all content, assets, feedback, and approvals in a timely manner as reasonably required by us to complete the project. Delays caused by late provision of materials or feedback may result in revised timelines. You confirm that any content, images, or other materials you provide to us do not infringe the intellectual property rights of any third party, and you agree to indemnify us against any claims arising from such materials.
6. Revisions and Scope Changes
Each project proposal includes a specified number of revision rounds. Requests for changes beyond the agreed scope, or additional work not included in the original proposal, will be quoted and charged separately. We will seek your written approval before proceeding with any out-of-scope work.
7. Intellectual Property
Upon receipt of full and final payment, all intellectual property rights in the completed deliverables (including design and code) will transfer to you. Until full payment is received, all work remains the intellectual property of Vikn Studio Ltd. We retain the right to display completed work in our portfolio and for promotional purposes unless you request otherwise in writing. Third-party assets, fonts, stock imagery, plugins, or software licences included in the project remain subject to their respective licence terms and are your responsibility to maintain.
8. Confidentiality
Both parties agree to keep confidential any sensitive business information disclosed during the course of a project and not to disclose it to third parties without prior written consent. This obligation does not apply to information that is already publicly available or that either party is legally required to disclose.
9. Cancellation
Either party may cancel a project by giving written notice. If you cancel a project after work has commenced, you remain liable for payment of all work completed up to the date of cancellation, including any non-refundable deposit. If we cancel a project without cause, we will refund any amounts paid for work not yet delivered.
10. Limitation of Liability
To the fullest extent permitted by law, Vikn Studio Ltd shall not be liable for any indirect, incidental, special, or consequential loss or damage arising out of or in connection with our services, including but not limited to loss of profits, loss of revenue, loss of data, or loss of business opportunity. Our total liability in connection with any project shall not exceed the total fees paid by you for that project. Nothing in these terms limits our liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation.
11. Warranties
We will perform our services with reasonable skill and care. We do not warrant that our deliverables will be entirely free from errors or that any website we build will achieve specific rankings, traffic levels, or commercial outcomes. You are responsible for ensuring that the website content complies with all applicable laws and regulations.
12. Governing Law
These Terms of Service are governed by the laws of England and Wales. Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
13. Changes to These Terms
We may update these Terms of Service from time to time. Any changes will be posted on this page with an updated date. Continued use of our website or engagement of our services following any changes constitutes your acceptance of the revised terms.
